Position Overview:
The General Counsel will be the chief legal officer at Thrive providing strategic legal advice to the leadership team. This individual will oversee the legal department, ensuring compliance with laws and regulations, managing risk, and representing the company in legal matters, including contract negotiations and litigation, while actively participating in key business decisions to mitigate legal risks and maximize opportunities.
Primary Responsibilities:
- Serve as chief legal strategist, advising the CEO, Board, and executive leadership on all legal matters impacting the organization and oversee risk management across the enterprise
- Oversee legal aspects of M&A and other strategic transactions, engaging and managing outside legal counsel as necessary
- Oversee commercial contracting process, including master services agreements and related service orders, data protection agreements, non-disclosure agreements and other commercial documents
- Oversee regulatory compliance, including data privacy (GDPR and similar legislation), labor, environmental, cybersecurity, and procurement regulations
- Manage litigation, working closely with outside counsel as needed
- Provide strategic legal advice to our management and business development teams
- Provide legal oversight for all HR functions, ensuring compliance with labor laws, employment policies, and workforce strategies
Requirements:
- Degree from an accredited law school
- Bar membership in good standing
- Unquestioned professionalism, ethics, and integrity
- Strong business acumen
- Over 15 years of prior experience at a top law firm or in-house, including at least 5-years of prior in-house counsel experience, including extensive experience in M&A and private equity transactions
- Experience working with a global organization and familiarity with working cross-culturally and with those of diverse backgrounds and perspectives
- Ability to think strategically, anticipate potential problems, and design creative solutions
- Ability to anticipate, de-escalate, and resolve disagreements and complaints in a practical and constructive manner
- Ability to convey information clearly, accurately, and appropriately to different audiences, including employees, senior leadership, and the public. Able to communicate legal findings and decisions briefly, simply, and persuasively
