Job Summary:
This position will work primarily on commercial contracts, including drafting and negotiating contracts with service providers, business partners, and clients of the company. This position may assist from time to time with additional legal matters including, but not limited to mergers and acquisitions, corporate governance, litigation, and employment.
Essential Job Functions for the Corporate Counsel, Commercial Contracts will include:
- Reviewing, drafting, structuring, and negotiating agreements with vendors, other third-party business partners, and clients
- Working closely with internal stakeholders to mitigate business and legal risks
- Ensuring contracts are fully executed and in compliance with rules and regulations
- Maintaining a current working knowledge of new laws and regulatory developments
- Contract administration as necessary
- Performing other duties as assigned, including but not limited to researching and advising on contractual, business law, corporate governance, and employment law matters
Required Knowledge, Skills and Abilities:
- Juris Doctor (J.D.)
- Licensed to practice law in at least one state (Colorado preferred)
- 3 to 7 years of experience in a law firm or in-house legal department
- Ability to work effectively with teams and independently, as well as manage and prioritize multiple projects
- Excellent communication, analytical and organizational skills
- Experience in corporate law or a transactional practice preferred
- Experience in negotiating SaaS agreements preferred
- Cybersecurity experience preferred
- Financial services experience preferred
- Strong drafting, research and writing skills
- Knowledge of and experience with federal securities law including the Investment Advisor Act of 1940 preferred
Work Schedule:
This professional role requires availability during standard business hours of Monday through Friday from 8AM to 5PM. At times, the role may have early or late hours to meet business tasks and deadlines for external and internal client needs.
Working Conditions:
This position may be in a professional office environment or a dedicated home office workspace which is free of interruptions. Whether position is in a dedicated office space or home office workspace, basic technology needs will be provided to satisfy position requirements. Routinely sitting and standing for periods of time. No heavy lifting over 10 lbs.
Salary:
Average annual salary range for this position across our locations is: $110,000 to $130,000. Actual base pay within this range will be based on a variety of factors, including but not limited to the applicant’s geographic location, relevant experience, education, skills and licenses/certifications. This position is also eligible to earn incentive compensation through one of Mercer Advisors’ incentive compensation programs.
