BrandStar, a television production and marketing organization located in Deerfield Beach, is seeking candidates for the position of Corporate Counsel.

THE POSITION
We are seeking a Corporate Counsel with experience in general corporate matters and mergers & acquisitions (M&A) to join our fast-growing marketing and entertainment business. This role is pivotal to our strategic growth, overseeing the legal aspects of our operations and acquisitions. The ideal candidate will have a strong background in contract negotiation, M&A transactions, corporate governance, and risk management. This is a unique opportunity to play a key role in scaling a dynamic company with an ambitious growth strategy targeting 5-10 acquisitions per year.
Specific Responsibilities Of The Corporate Counsel Position Include
General Corporate Matters
- Draft, review, and approve client contract templates, including master service agreements (MSAs) and non-disclosure agreements (NDAs).
- Negotiate and finalize key contracts with clients, vendors, and partners to ensure alignment with company objectives.
- Advise Human Resources on employment law matters, including employment agreements, termination protocols, and compliance with labor regulations.
- Support collects efforts on overdue accounts, ensuring compliance with legal standards while safeguarding client relationships.
- Oversee corporate governance and compliance, including policy development and regulatory adherence.
- Regularly review and monitor changes in laws and regulations that affect the company's operations, including data privacy laws (e.g., GDPR, CCPA) and intellectual property regulations.
- Manage and protect the company's intellectual property (IP), including trademarks, copyrights, and proprietary methodologies.
- Manage disputes, litigation, and arbitration, including working with external counsel as necessary.
- Provide guidance on corporate structuring, including the creation of subsidiaries, joint ventures, or reorganizations, and ensure appropriate governance documentation.
M&A Responsibilities
- Draft and maintain Indication of Interest (IOI), Letter of Intent (LOI), and Purchase Agreement templates.
- Lead legal due diligence for acquisitions, identifying potential risks and opportunities to protect and enhance the company's value.
- Collaborate with operations, finance, and HR teams to ensure legal compliance and smooth integration of acquired entities, including alignment of contracts, policies, and procedures.
- Oversee the legal aspects of deal closings, including preparation of closing checklists, ensuring all conditions precedent are satisfied, and managing post-closing documentation and obligations.
- Identify and propose creative solutions to mitigate risks in deal terms, such as indemnities, earn-outs, escrows, and representations & warranties insurance.
- Advise on cross-border transactions, including compliance with local laws, tax implications, and regulatory requirements, as applicable.
- Assist in the legal evaluation of potential acquisition targets, including corporate structure, intellectual property, litigation history, and regulatory compliance.
Leadership and Strategic Insight
- Develop and manage relationships with external legal counsel or internal legal support as needed for specialized expertise or litigation.
- Proactively identify and address legal risks, ensuring the company's interests are safeguarded.
- Foster collaboration with cross-functional teams to align legal practices with business objectives.

Required Experience
- Juris Doctorate (JD) degree from an accredited law school.
- Minimum of 5 years of experience in corporate law with a focus on mergers and acquisitions.
- Alignment with the company's "people-first" values.
- Exceptional writing and drafting skills with a proven track record of creating high quality legal documents.
- Strong analytical and problem-solving abilities.
- Excellent communication and negotiation skills.
- Ability to work independently and manage multiple tasks effectively.
